Terms of Use

These Terms of Use (“Terms”) govern your use of LyraDisplay websites, accounts, hosted applications, demos, APIs, and related services (collectively, the “Services”), operated by LyraDisplay (“LyraDisplay,” “we,” “us,” or “our”). By creating an account, starting a trial, purchasing a plan, or otherwise using the Services, you agree to these Terms.
Product-specific pages, pricing pages, and checkout screens may describe the current offer. Those descriptions do not limit our rights under this section unless we expressly agree in a signed writing.
1. Accounts & organizations
You are responsible for the accuracy of account information, for safeguarding credentials, and for activity under your account. Where a product uses organizations (teams), an organization owner or designated admin may manage members, app access, and (where applicable) billing. You must ensure you have authority to act for any organization you administer.
Access to a product depends on a valid entitlement: trial, paid subscription, license grant, or other access we expressly provide. We may suspend or terminate access for breach of these Terms, non-payment, abuse, or risk to the Service or other users.
2. Prices, plans, subscriptions & entitlements
This section is intended to reserve our right to change commercial terms while being transparent with you.
2.1 Current offers are informational
Prices, plan names, included features, trial lengths, seat/organization rules, and who must hold a paid subscription (for example, one organization plan paid by an owner versus a separate subscription per user) that appear on marketing sites, account pages, or checkout reflect our then-current offer. You may use that information to decide whether to start a trial, join an organization, or purchase now. Except as stated in §2.3, published prices and plan structures are not a permanent price or model guarantee.
2.2 Right to change
We may, at any time and without liability for lost opportunity cost:
- change list prices, discounts, currencies, billing intervals, or taxes/fees presentation;
- add, remove, or rename plans or features;
- change who is entitled to access under a plan (including moving products from organization-wide access to per-user subscriptions, or the reverse);
- change trial eligibility, length, or auto-conversion rules;
- limit seats, members, usage, API, or storage;
- introduce new products, retire products, or rebrand offerings.
Changes may apply to new purchases, upgrades, and/or renewals. We will use reasonable efforts to surface material changes on Pricing, checkout, account, or email notice, but posting updated terms or prices on the applicable LyraDisplay site is sufficient notice unless applicable law requires otherwise.
2.3 What we honor for a paid period you already bought
If you complete a paid checkout for a defined term (for example, one month or one year), we will provide the product access associated with that purchase for the remainder of that paid term, subject to these Terms and any product-specific limits disclosed at checkout. We do not guarantee that:
- the same price will apply at renewal;
- the same plan structure (including organization-wide vs per-user) will remain available at renewal;
- features included today will remain included in future periods; or
- promotional or early pricing will continue indefinitely.
At renewal or when you buy again, the price and access model then in effect apply, unless we state otherwise in writing at that time. If you do not agree to a renewal under the new terms, you may cancel before renewal (where the product supports cancellation) and stop using paid features when the paid term ends.
2.4 Trials and complimentary access
Trials and complimentary or promotional access are discretionary, may be modified or withdrawn, and do not create an obligation to continue free access or to offer the same commercial terms after the trial ends.
2.5 Billing, taxes, refunds
Paid plans are billed through our payment processor (for example, Stripe). You authorize recurring charges where you select a subscription. Prices may be exclusive of taxes; you are responsible for applicable taxes unless we collect them. Except where required by law, payments are non-refundable once charged, including for partial periods, unused seats, or organization changes.
2.6 No reliance on future terms
You acknowledge that you are not relying on any oral or written representation that prices, plan structures, or entitlement models will remain unchanged beyond the paid term you purchase. Decisions to join early, invite teammates, or subscribe under today’s organization model are your choice; we encourage you to review Pricing and these Terms before purchasing.
3. Acceptable use
You will not misuse the Services, probe or disrupt systems, scrape in a way that harms service quality, infringe others’ rights, or use the Services for unlawful purposes. Hosted demos and sample environments are provided “as is” for evaluation and may reset or discard data.
4. Intellectual property
LyraDisplay and its licensors own the Services, branding, and software. You retain ownership of content you lawfully upload. You grant us a limited license to host and process that content solely to provide the Services.
5. Disclaimers & limitation of liability
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYRADISPLAY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO LYRADISPLAY FOR THE AFFECTED PRODUCT IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
6. Changes to these Terms
We may update these Terms by posting a revised version with a new “Last updated” date. Continued use of the Services after the effective date constitutes acceptance, except where applicable law requires a different process for material changes. For paid subscriptions, material commercial changes that affect a future renewal are also governed by §2.
